Welcome to Andi. These Terms of Service (“Terms”) govern access to and use of the Andi website at andi.ai, mobile application, and related services (collectively, the “Services”) provided by Andi AI, Inc. (“Andi,” “we,” “our,” or “us”).

Only an adult may create and own an Andi family account. By creating an account or using the Services as an adult, you agree to these Terms. A child may use Andi only through a parent-controlled child account created or approved by a parent or legal guardian.

1. Eligibility and Adult Account Ownership

You must be at least 18 years old and legally capable of entering into a contract to create an Andi account. The adult account owner is responsible for the family account, its child accounts, invited family members and caregivers, permissions, connected services, and activity conducted through the account.

If you create or approve a child account, you represent that you are the child’s parent or legal guardian, or that you otherwise have the legal authority to act for the child and provide any consent required for Andi to process the child’s information.

2. Parent-Controlled Child Accounts

A child cannot create an independent Andi account or accept these Terms. A child may access the Services only through a parent-controlled child account that a parent or legal guardian creates or invites and then approves.

The parent or legal guardian:
• decides whether and when the child may use Andi;
• controls the child’s access, permissions, connected features, and family sharing;
• can review and correct the child’s profile and information;
• can review the child’s saved memory and interactions made available through the Services;
• can revoke the child’s access and request deletion of the child’s information; and
• is responsible for supervising the child’s use of the Services.

A child cannot invite a caregiver, connect an external account, change family permissions, approve collection of personal information, or override the parent’s controls.

For a child under 13 in the United States, Andi will provide direct notice and obtain verifiable parental consent where required by the Children’s Online Privacy Protection Act (“COPPA”) before activating the child’s access or collecting personal information directly from the child. Similar requirements may apply in other jurisdictions.

3. Account Registration and Security

You agree to provide accurate, current, and complete information and to keep it updated. Andi uses passwordless authentication, including supported third-party sign-in and one-time verification methods. You are responsible for securing the email account, phone number, device, and third-party account used to access Andi.

You must promptly notify us at support@andi.ai if you believe an account or family workspace has been accessed without authorization. We may require identity or parental-authority verification, limit access, or suspend an account to protect a child, a family, or the Services.

4. The Services and AI

Andi provides family coordination and AI companion features that may include:
• family-specific AI conversations, voice interactions, memory, and summaries;
• calendars, tasks, goals, reminders, notifications, and proactive suggestions;
• family profiles, child profiles, and parent visibility;
• family chat and caregiver handoffs;
• Care Share access for invited caregivers;
• document, image, email, and attachment intake; and
• connections to supported third-party services.

Features may differ by device, plan, age, location, or beta status. We may add, change, limit, suspend, or discontinue features, with notice of material changes when reasonably practicable or legally required. AI can produce inaccurate, incomplete, or inappropriate output. You are responsible for reviewing important information and deciding whether to act on it.

5. Your Content and Family Information

Ownership. As between you and Andi, you retain ownership of content and information you are authorized to provide to the Services (“Your Content”), including family profiles, conversations, memories, tasks, calendars, care instructions, photos, files, and feedback. You represent that you have the rights and authority needed to provide Your Content, including information about children, family members, caregivers, and other people.

License to Andi. You grant Andi a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt, transmit, display, and otherwise use Your Content only as needed to operate, secure, support, personalize, and improve the Services for your family; comply with law; and enforce these Terms. This license ends when the relevant content is deleted from active systems, except for protected backups and information we must retain for legal, safety, security, accounting, or compliance reasons as described in our Privacy Notice.

Family-specific AI processing. Andi may analyze Your Content to create family-specific memory, summaries, context, suggestions, and responses. Andi does not use a family’s personal information, including a child’s conversations, to train generalized or non-personalized AI or machine-learning models or for advertising.

Google Workspace API data is additionally governed by the Google Limited Use commitments in our Privacy Notice.

6. Family Groups, Permissions, and Care Share

The adult family owner controls membership and permissions. You are responsible for inviting only people you trust, assigning appropriate access, and removing access when it is no longer needed.

Care Share allows an authorized adult to share selected family context with a caregiver, babysitter, grandparent, co-parent, or other trusted adult. The invited person’s access is limited by the permissions and time period configured by the family. The family owner can change or revoke that access.

People who receive family information must use it only for the family purpose for which it was shared and must protect it from unauthorized use or disclosure. Andi is not responsible for an authorized recipient’s actions outside the Services.

7. Connected Services and Device Permissions

An authorized adult may connect supported services, such as Google Calendar or Microsoft Outlook, and may grant device permissions for contacts, photos, camera, microphone, or location. You direct Andi to access and process the information needed for the features you enable.

Third-party services are governed by their own terms and privacy notices. Andi is not responsible for a third party’s service, availability, content, or independent processing. You can disconnect a service or change device permissions, but doing so may limit related Andi features. Andi’s access to and use of Google Workspace API data is subject to the additional restrictions in our Privacy Notice.

8. Acceptable Use

You may not use the Services to:
• violate any law or another person’s rights;
• exploit, endanger, groom, abuse, harass, threaten, or impersonate another person;
• create, upload, request, or distribute child sexual abuse material or other unlawful or exploitative content;
• provide information about a child without authority;
• submit intentionally false, defamatory, malicious, or unlawfully discriminatory content;
• gain unauthorized access to an account, device, system, or network;
• interfere with the Services;
• reverse engineer, copy, resell, or build a competing product except where law does not permit this restriction;
• scrape or use automated access without written permission;
• bypass age, parent-approval, safety, rate-limit, or access controls; or
• make or automate a high-impact decision about another person without appropriate human review and legal authority.

We may investigate suspected violations and remove content, restrict features, suspend access, report conduct, or terminate accounts when reasonably necessary to protect children, families, Andi, or others.

9. Subscriptions, Billing, and App Marketplaces

Some features may require a paid subscription. The price, billing period, trial terms, renewal terms, and included features will be shown before purchase.

If you purchase through Apple, Google, or another app marketplace:
• the marketplace processes payment and its billing and refund rules apply;
• subscriptions may renew automatically unless canceled before the renewal date shown by the marketplace;
• you must manage or cancel through the marketplace account used to purchase; and
• deleting Andi or closing an Andi account does not automatically cancel a marketplace subscription.

RevenueCat or another subscription-management provider may help Andi verify purchase status and entitlements. Andi does not receive full payment-card details from an app marketplace. Except where required by law or marketplace rules, charges are non-refundable. We may change prices or plan features prospectively with legally required notice.

10. Privacy

Our Privacy Notice explains how we collect, use, disclose, retain, and protect personal information, including information associated with a parent-controlled child account. It is incorporated into these Terms by reference.

11. Child Safety, Health, and Emergencies

Andi is not an emergency service, crisis service, medical provider, therapist, lawyer, or substitute for a responsible adult. Do not rely on Andi to contact emergency services, supervise a child, diagnose a condition, or make a critical health, safety, legal, educational, or caregiving decision.

If a child or another person may be in immediate danger, contact local emergency services or a trusted adult. Parents and guardians should review important information, maintain appropriate supervision, and configure child access for the child’s age and needs. Safety filters and parent-visibility features can reduce risk but cannot prevent every harmful, inaccurate, or inappropriate interaction.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. ANDI DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not promise that the Services will always be available, uninterrupted, secure, error-free, or accurate. AI outputs, reminders, summaries, calendar information, connected-service data, and proactive suggestions may be delayed, incomplete, or wrong. You are responsible for verifying important information.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

13. Andi Intellectual Property

The Services, including Andi’s software, designs, text, graphics, logos, models, workflows, and other materials excluding Your Content, are owned by or licensed to Andi and protected by intellectual-property laws.

We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Services for your family’s non-commercial use in accordance with these Terms. You may not copy, modify, distribute, sell, lease, or create derivative works from the Services except as permitted by law or with our written permission.

Feedback you voluntarily provide may be used by Andi without restriction or compensation, but we will not identify you publicly without permission.

14. Suspension, Termination, and Deletion

You may stop using the Services at any time. You may delete your adult login, leave a family where permitted, or use the family-deletion process available to an authorized family owner.

Deleting only an adult login or leaving a family does not necessarily delete the family workspace or information that another authorized adult continues to own. A family owner who wants the family workspace deleted must use the family-deletion process or contact privacy@andi.ai. A parent or guardian may revoke a child’s access and request deletion of the child’s information.

We may limit, suspend, or terminate access to enforce these Terms, protect a child or another person, prevent fraud or abuse, comply with law, or protect the Services. After termination or deletion, information is handled as described in the Privacy Notice. Provisions that by their nature should survive will survive.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANDI AI, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANDI’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID ANDI DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

These limits apply regardless of legal theory and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain liability limits, so some limits may not apply to you.

16. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Andi AI, Inc. and its officers, directors, employees, and agents from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising from Your Content, your misuse of the Services, your violation of these Terms, or your violation of another person’s rights.

17. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction.

The arbitration will take place in Delaware or another mutually agreed location. YOU AND ANDI AGREE THAT DISPUTE-RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Nothing in this section limits a right that cannot be waived under applicable law.

18. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where the law of your jurisdiction requires otherwise.

19. Changes to These Terms

We may update these Terms as the Services or legal obligations change. If a change is material, we will provide notice through the Services, by email, or by another appropriate method before the change takes effect when required by law.

The “Last updated” date identifies the current version. If you continue to use the Services after updated Terms take effect, you agree to them. If you do not agree, you must stop using the Services.

20. General Terms

Entire Agreement. These Terms and the Privacy Notice are the entire agreement between you and Andi regarding the Services.

Severability. If a provision is unenforceable, the remaining provisions remain in effect. No Waiver. A failure to enforce a provision is not a waiver. Assignment. You may not assign these Terms without our written consent; Andi may assign them as part of a merger, financing, acquisition, reorganization, or sale of assets. Force Majeure. Andi is not responsible for delay or failure caused by events beyond our reasonable control. No Third-Party Beneficiaries. These Terms do not create rights for anyone other than you and Andi except where they expressly say otherwise.
