Welcome to Andi. These Terms of Service ("Terms") govern your access to and use of the Andi platform, including our website (andi.ai), mobile application, and related services (collectively, the "Services") provided by Andi AI, Inc. ("Andi," "we," "our," or "us"). By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Eligibility
You must be at least 18 years old to create an Andi account. By creating an account, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. Children under 18 may use the Services only under the supervision and with the consent of a parent or legal guardian who holds the account. The account holder is responsible for all activity that occurs under their account, including use by children and authorized caregivers.
2. Account Registration and Security
To use Andi, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.
3. Description of Services
Andi is a family coordination platform powered by artificial intelligence. The Services include, but are not limited to:
AI-powered family assistant with persistent memory that learns and adapts to your family over time.
Family calendar coordination, task management, and goal tracking.
Care Share: tools for sharing family context with caregivers, babysitters, grandparents, and co-parents.
AI companion for children, with age-appropriate interactions and parental oversight.
Proactive notifications, reminders, and nudges based on your family's patterns and needs.
Family chat and communication features.
We may modify, update, or discontinue features of the Services at any time. We will provide reasonable notice of material changes where practicable.
4. Your Content and Data
4.1 Ownership
You retain ownership of all content, data, and information you submit to the Services ("Your Content"), including family profiles, memories, calendar events, tasks, messages, and any other information you provide. Andi does not claim ownership of Your Content.
4.2 License to Andi
By submitting Your Content to the Services, you grant Andi a non-exclusive, worldwide, royalty-free license to use, process, store, and display Your Content solely for the purpose of providing, maintaining, and improving the Services for you and your family. This license terminates when you delete Your Content or your account, except as necessary for backup, legal compliance, or as otherwise described in our Privacy Notice.
4.3 AI Memory and Processing
You acknowledge that Andi uses artificial intelligence to analyze Your Content in order to build a persistent family memory, generate proactive suggestions, and provide personalized assistance. Your family's data is used to improve the AI's understanding of your specific family. Your data is not used to train general-purpose AI models for other users.
5. Acceptable Use
You agree not to use the Services to:
Violate any applicable law or regulation.
Infringe the intellectual property or privacy rights of any third party.
Upload or transmit any content that is harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
Attempt to gain unauthorized access to the Services, other accounts, or any related systems or networks.
Interfere with or disrupt the integrity or performance of the Services.
Use the Services to develop competing products or services.
Use automated means (bots, scrapers, etc.) to access the Services without our prior written consent.
Misrepresent your identity or impersonate another person.
Submit false or misleading information about family members, particularly children.
We reserve the right to investigate and take appropriate action, including suspending or terminating your account, for violations of these Terms.
6. Children's Use of the Services
Andi is designed to be used by families, including children. Children under 13 may only access and use the Services with the consent and under the supervision of a parent or legal guardian who holds the account. The account-holding parent or guardian is responsible for managing their child's access, reviewing content and interactions, and configuring appropriate permissions. Andi provides age-appropriate content filtering and parental visibility features, but no automated system is perfect. Parents and guardians should actively oversee their children's use of the platform.
7. Care Share and Third-Party Access
The Care Share feature allows you to share selected family information with authorized caregivers. You are responsible for configuring permissions and determining what information is shared. Andi is not responsible for how caregivers use the information you choose to share with them. You may revoke caregiver access at any time through the app settings.
Subscription and Payment
Certain features of the Services may require a paid subscription. Subscription fees, billing cycles, and payment terms will be presented to you at the time of purchase. All fees are non-refundable except as required by applicable law or as expressly stated in our refund policy. We reserve the right to change our pricing with reasonable advance notice. If you do not agree to a price change, you may cancel your subscription before the change takes effect.
9. Intellectual Property
The Services, including all software, designs, text, graphics, logos, and other materials (excluding Your Content), are owned by or licensed to Andi and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.
10. Privacy
Your use of the Services is also governed by our Privacy Notice, which describes how we collect, use, and share your personal information. Please review the Privacy Notice at andi.ai/privacy. By using the Services, you consent to the practices described in the Privacy Notice.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Andi uses artificial intelligence, which may occasionally produce inaccurate or incomplete information. You should not rely solely on Andi for critical decisions related to health, safety, or emergency situations. Andi is not a substitute for professional medical, legal, or emergency advice. Always verify important information independently.
We do not guarantee that the Services will be uninterrupted, error-free, or completely secure.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANDI AI, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
13. Indemnification
You agree to indemnify, defend, and hold harmless Andi AI, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
14. Termination
You may terminate your account at any time by contacting us or through the account settings in the app. We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
15. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction. The arbitration shall take place in the State of Delaware, or at another mutually agreed location. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
17. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on our website and, where appropriate, by sending you an email or in-app notification. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
18. General Provisions
Entire Agreement: These Terms, together with the Privacy Notice, constitute the entire agreement between you and Andi regarding the Services.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
Force Majeure: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control.
